Terms of service

1. Agreement

These Terms of Service (“Terms”) govern access to the hosted cloudrun control plane at www.cloudrun-ai.com and related billing and support (the “Service”). By creating an account or using the Service, you agree to them. If you use cloudrun for an organization, you confirm you have authority to bind that organization, and “you” includes it.

If you do not agree, do not use the Service. Privacy practices are described in the Privacy Policy.

2. The service

cloudrun provisions an isolated box per project, configures an agent runtime on that box, and gives you a canvas over the fleet. It is not the runtime itself. What an agent does after it is online — tools, channels, files, memory — happens on the box you control, using keys and connectors you supply.

Hermes is available to deploy today. Other engine kinds may appear as “wired” or “soon” in the product; they are not a promise that a given runtime is generally available.

We may change features, engine versions, snapshot images, and limits. We will try not to surprise you on anything that would delete a running fleet without the billing rules below.

3. Accounts

Sign-in is handled by Clerk. You must provide accurate information, keep credentials and organization membership under your control, and tell us if you believe an account is compromised. You are responsible for activity under your account and under organizations you administer.

You must be old enough to form a binding contract where you live, and in any case not under 16. The Service is a business product.

4. Agents and your content

You retain rights in prompts, files, templates, and other material you put on a box or in the control plane (“Your Content”). You grant us a limited licence to host, copy, transmit, and display Your Content solely to operate and secure the Service — including reading and writing box files when we provision or repair a runtime.

You are responsible for Your Content and for what your agents do: messages they send, actions they take in connected apps, and code they run. Outputs from models and runtimes can be wrong, unsafe, or unexpected. Review them before you rely on them.

Do not upload material you do not have the right to use. Public profile templates are visible to other users; keep secrets out of them.

5. Connectors

Optional connectors (for example Gmail, Notion, GitHub, Linear) are provided through Composio and the third-party services themselves. Their terms and privacy policies apply. You must only connect accounts you are allowed to connect. Revoking a connection in cloudrun or in the third-party product does not undo actions the agent already took.

6. Acceptable use

You may not use the Service to:

• Break the law, or help someone else break it
• Distribute malware, run denial-of-service attacks, or probe systems you do not own or have permission to test
• Send spam or unsolicited bulk messages
• Infringe intellectual property or privacy rights
• Mine cryptocurrency on boxes we provide
• Interfere with other customers’ deployments or with the control plane
• Resell the hosted Service except under a written agreement with us

We may suspend or terminate access if we reasonably believe these Terms are being broken, or if a deployment is harming the platform or others.

7. Billing

Hosted usage is billed through Polar. You pay for running deployments: subscription quantity tracks how many deployments are running, not how many people are in the organization. Polar cannot bill a quantity of zero, so an organization with a live subscription and an empty fleet still holds the minimum seat.

Adding a deployment is charged before it boots. Deleting a deployment reduces the quantity. Members are not billed as seats.

If a subscription is past due, existing deployments keep running while Polar retries payment, but you cannot add deployments until the account is current. If the subscription ends, we pause the fleet and keep those boxes for 30 days; after that we delete them. Resubscribing before then can bring the fleet back.

Prices can change with notice in the product or by email. Card handling, invoices, taxes, and cancellation of the payment method are Polar’s checkout and customer portal. Refunds, if any, follow Polar’s process for the charge in question unless we agree otherwise in writing.

8. Self-hosting

The cloudrun codebase is available under the MIT licence. A self-hosted copy is not the hosted Service. These Terms do not replace the MIT licence for the code, and we do not operate or bill a machine you run yourself unless you separately buy the hosted Service.

9. Availability

We aim to keep the control plane and boxes reachable, but we do not guarantee uninterrupted access. Provisioning depends on upstream compute, identity, and payment providers. Scheduled maintenance, failures, and snapshot updates can interrupt a deployment.

10. Intellectual property

We and our licensors own the Service, the cloudrun name and marks, and the control-plane software as made available to you, except for Your Content and except for engine runtimes and third-party libraries that ship under their own licences. You may not copy the hosted Service, reverse engineer it except where the law allows, or remove proprietary notices.

11. Disclaimer

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that agents will achieve a result, that boxes will be error-free, or that connectors will remain available.

12. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, whether the claim is in contract, tort, or otherwise, even if we were told they were possible.

Our total liability for all claims arising out of the Service is limited to the amounts you paid us for the Service in the twelve months before the claim, or one hundred US dollars if you have paid nothing.

Some places do not allow these limits. In those places, our liability is limited to the maximum extent the law allows. Nothing here limits liability that cannot be limited, including for fraud or for death or personal injury caused by negligence where that cannot be excluded.

13. Termination

You may stop using the Service and delete deployments at any time. Organization billing is cancelled through Polar’s portal. We may suspend or close an account for a breach of these Terms, non-payment after the rules in the billing section, or if we discontinue the hosted Service.

On closure, we delete or irreversibly de-identify control-plane records we do not need to keep for law or dispute, and we delete boxes we still operate for that organization, subject to the 30-day pause window if a subscription has only just lapsed.

Sections that by their nature should survive (including acceptable use, billing already incurred, IP, disclaimers, and liability limits) survive termination.

14. Changes

We may update these Terms. We will post the new version on this page and update the date. Material changes will be announced in the Service or by email when we reasonably can. If you continue to use the hosted Service after the updated Terms take effect, you accept them. If you do not, stop using the Service and cancel through Polar.
